Throughout these Terms, the words "we," "us," "our," and "Crick & Sons" refer to Crick & Sons Ltd.

By visiting our website, placing an order, creating an account, or otherwise using our services, you agree to these Terms.

Please read these Terms carefully before using our website or purchasing from us.

Nothing in these Terms excludes, limits, or restricts any statutory consumer right that cannot legally be excluded or restricted.

U.S. Fulfilment Location

Orders for customers in the United States are generally fulfilled and shipped from our U.S. warehouse located in:

Sacramento, California 95823
United States

This is a fulfilment location and should not automatically be used as a correspondence or return address.

Customers wishing to return a product should follow our Return and Refund Policy and contact us before sending an item back.

PART A — USING OUR WEBSITE

2. Acceptance of These Terms

By accessing our website or purchasing products from us, you agree to comply with these Terms and all applicable laws and regulations.

If you do not agree with these Terms, you should not use our website or place an order.

These Terms apply to all website users, including browsers, customers, account holders, and purchasers.

3. Eligibility to Use Our Store

By placing an order, you confirm that:

  • You are legally capable of entering into a binding contract;

  • You are at least the age required to enter into a contract in your jurisdiction, or are using the website with appropriate parental or guardian permission where legally permitted;

  • The information you provide is accurate and complete; and

  • You are using our website for lawful purposes.

We may refuse or cancel orders where required or permitted by law, including where we reasonably suspect fraud, unauthorised payment activity, or misuse of our services.

4. Account Information

Certain features of our website may allow or require you to create an account.

You are responsible for:

  • Providing accurate account information;

  • Keeping your login credentials confidential;

  • Keeping your contact information current; and

  • Notifying us if you reasonably believe your account has been accessed without authorisation.

You should not share passwords or other security credentials with unauthorised persons.

We may suspend or restrict an account where reasonably necessary to protect customers, our business, or our systems from fraudulent, abusive, or unlawful activity.

PART B — PRODUCTS AND ORDERS

5. Product Information

We make reasonable efforts to ensure that product:

  • Descriptions;

  • Images;

  • Specifications;

  • Prices;

  • Availability; and

  • Other information

are accurate and current.

Product images are intended to represent products as accurately as reasonably possible. However, colours and appearance may vary slightly depending on your device, display settings, packaging revisions, or manufacturer updates.

Any material variation affecting the essential nature of a product will be handled in accordance with applicable consumer law.

6. Product Availability

All products are subject to availability.

Adding a product to your shopping cart does not reserve the item.

Occasionally, a product may become unavailable after an order has been submitted.

If we cannot supply an ordered product, we may cancel the affected product or order and issue any refund required.

We will not substitute a materially different product without your agreement where consent is required.

7. Placing an Order

When you submit an order through our website, you are making an offer to purchase the products shown in your order.

Before submitting an order, you will normally have an opportunity to review and correct order information.

Please ensure that:

  • Product selections are correct;

  • Quantities are correct;

  • Your shipping address is accurate;

  • Your billing information is accurate; and

  • Your contact information is current.

After your order is submitted, you may receive an automated order acknowledgement or confirmation.

8. Order Acceptance

An automated acknowledgement that we received your order does not necessarily mean that we have accepted it where applicable law allows order acceptance to occur later.

We may refuse or cancel an order before fulfilment for legitimate reasons including:

  • A product becoming unavailable;

  • An obvious pricing or description error;

  • A payment not being authorised;

  • Suspected fraud;

  • An incorrect delivery restriction;

  • Legal or regulatory requirements; or

  • An inability to fulfil the order.

Where we cancel an order after receiving payment, we will refund the amount due in accordance with applicable law.

We will not use this provision to avoid obligations relating to an order that has already formed a binding contract where applicable law prevents us from doing so.

9. Order Limits

We may apply reasonable quantity limits to certain products.

We may also restrict unusually large quantities where we reasonably believe products are being purchased for unauthorised resale, fraud, or another purpose inconsistent with an offer intended for consumers.

Any restrictions will be applied in accordance with applicable law and without limiting statutory consumer rights.

PART C — PRICES AND PAYMENT

10. Prices

Product prices will be displayed on our website.

For UK customers, prices and applicable taxes will be presented in accordance with applicable UK pricing and consumer-information requirements.

For U.S. customers, applicable sales tax may be calculated and displayed where required based on factors including the delivery location.

Shipping or delivery charges, where applicable, will be shown before the order is completed.

The total amount payable will be displayed during checkout before you submit your order.

11. Pricing Errors

We make reasonable efforts to ensure prices are accurate.

Occasionally, an obvious pricing error may occur.

Where a price is clearly incorrect and a reasonable customer would have recognised it as an error, we may contact you before fulfilment to provide the correct information and appropriate options.

Nothing in this section limits rights that cannot legally be excluded.

12. Payment

We may accept payment methods displayed at checkout, which may include:

  • Major credit cards;

  • Debit cards;

  • Shop Pay;

  • PayPal; and

  • Other supported payment methods.

Available payment methods may differ by location.

By providing payment information, you confirm that you are authorised to use the applicable payment method.

You authorise us and our payment service providers to charge the amount shown during checkout.

13. Payment Authorisation

Orders may be subject to payment authorisation and fraud-prevention checks.

An order may be delayed or cancelled if:

  • Payment is declined;

  • Payment cannot be verified;

  • The payment provider does not authorise the transaction; or

  • We reasonably believe a transaction may be fraudulent or unauthorised.

We may request reasonable information necessary to verify an order.

14. Currency

Prices may be displayed in different currencies depending on the customer's location and website settings.

Your payment provider may apply:

  • Currency conversion;

  • Exchange-rate adjustments;

  • International transaction charges; or

  • Other provider fees.

Charges imposed independently by your bank or payment provider are governed by your agreement with that provider.

PART D — SHIPPING AND DELIVERY

15. Shipping Locations

Crick & Sons Ltd serves customers in the United Kingdom and the United States, subject to product and delivery availability.

United States

Orders for U.S. customers are generally fulfilled and shipped from our U.S. warehouse located in:

Sacramento, California 95823, United States.

United Kingdom

UK orders may be fulfilled through our applicable UK or authorised fulfilment facilities.

The fulfilment location does not necessarily determine the return address.

16. Delivery Information

Available shipping options, estimated delivery times, and applicable delivery charges will be displayed on our website or during checkout where applicable.

Delivery estimates are estimates unless we expressly agree to a guaranteed delivery date.

We will comply with applicable laws concerning delivery periods.

17. United Kingdom Delivery

Unless a different delivery period has been agreed with a UK consumer, goods will be delivered within the period required by applicable UK consumer law.

If delivery is delayed, customers may have cancellation or other rights depending on the circumstances and applicable law.

Nothing in these Terms restricts those rights.

18. United States Shipping

For U.S. orders, we will have a reasonable basis for any shipping timeframe we advertise.

Where applicable U.S. law requires us to obtain customer consent to a shipment delay or provide the option of cancellation and a refund, we will do so.

If an order cannot be shipped within the applicable timeframe and the order must be cancelled under applicable law, the appropriate refund will be issued.

19. Shipping Addresses

Customers are responsible for providing a complete and accurate delivery address.

Please review the address carefully before completing your order.

If you discover an error, contact us as soon as possible at:

support@crickandsons.com

We will try to assist, but we cannot guarantee that an address can be changed after processing or dispatch has begun.

Nothing in this section removes responsibility that the law places on us for proper delivery.

20. Delivery Risk

Responsibility for loss or damage to goods passes to consumers in accordance with applicable law.

For UK consumer orders, nothing in these Terms changes the statutory rules governing when risk in goods passes to a consumer.

The mere fact that a carrier has been engaged to deliver an order does not remove any responsibility that applicable consumer law places on us.

21. Lost, Damaged, or Missing Shipments

If your order:

  • Does not arrive;

  • Arrives damaged;

  • Contains incorrect products; or

  • Is missing products or significant components,

please contact us at:

support@crickandsons.com

We will investigate and provide an appropriate remedy where required.

PART E — RETURNS, REFUNDS AND CANCELLATIONS

22. Return and Refund Policy

Returns, refunds, exchanges, and consumer cancellations are governed by our separate Return and Refund Policy, which forms part of these Terms.

Crick & Sons Ltd generally offers eligible customers a 30-day return period from delivery, subject to the conditions and statutory rights described in that policy.

Please review our Return and Refund Policy before making a purchase.

23. UK Statutory Cancellation Rights

UK consumers purchasing qualifying products online may have cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

For many qualifying purchases, this includes a right to notify us of cancellation within 14 days after receiving the goods, followed by an additional period in which the goods must be returned.

Our voluntary return policy does not reduce those statutory rights.

Details are provided in our Return and Refund Policy.

24. UK Consumer Rights

Nothing in these Terms restricts rights provided to consumers under applicable UK law, including the Consumer Rights Act 2015.

Goods supplied to UK consumers must meet applicable statutory requirements, including requirements concerning:

  • Satisfactory quality;

  • Fitness for purpose; and

  • Conformity with description.

Where those requirements are not met, statutory remedies may apply.

25. U.S. Consumer Rights

Our voluntary policies do not exclude rights or remedies that U.S. consumers may have under applicable:

  • Federal law;

  • State law; or

  • Local consumer protection law.

Where a mandatory consumer protection law provides greater rights than these Terms, the applicable law will prevail.

PART F — PROMOTIONS AND DISCOUNTS

26. Promotional Offers

We may occasionally offer:

  • Discounts;

  • Promotional codes;

  • Sales;

  • Coupons;

  • Bundles;

  • Free-shipping promotions; or

  • Other promotional offers.

Promotions may be subject to specific conditions disclosed with the promotion.

Unless otherwise stated, promotional offers:

  • Cannot necessarily be combined;

  • May have an expiration date;

  • May apply only to selected products;

  • May be limited to certain locations; and

  • May be limited to one use per customer or order.

Promotional conditions will not override mandatory statutory consumer rights.

27. Gift Cards

If we offer gift cards, additional terms may apply.

Any expiration, refund, transfer, or redemption restrictions will comply with applicable law.

PART G — WEBSITE CONTENT AND INTELLECTUAL PROPERTY

28. Ownership of Website Content

Unless otherwise stated, the website and its original content, including:

  • Branding;

  • Logos;

  • Graphics;

  • Page layouts;

  • Text;

  • Product copy created by us;

  • Photographs owned by us;

  • Videos;

  • Website design; and

  • Other original materials

are owned by or licensed to Crick & Sons Ltd and may be protected by intellectual property laws.

Third-party trademarks, product images, brand names, and other intellectual property remain the property of their respective owners.

29. Permitted Use

You may use our website for lawful personal shopping and informational purposes.

You may not, without appropriate authorisation:

  • Copy substantial portions of our website for commercial use;

  • Reproduce our proprietary branding;

  • Impersonate Crick & Sons Ltd;

  • Use our website to commit fraud;

  • Interfere with website security;

  • Introduce malware or malicious code;

  • Attempt unauthorised access to our systems; or

  • Use automated methods in a manner that materially disrupts the website.

30. Third-Party Trademarks

References to third-party:

  • Brands;

  • Manufacturers;

  • Trademarks;

  • Product names; or

  • Logos

are used for identification and product-description purposes where appropriate.

Ownership of those marks remains with their respective owners.

Unless expressly stated, the appearance of a third-party trademark does not by itself imply sponsorship, endorsement, or affiliation.

PART H — REVIEWS AND USER CONTENT

31. Customer Reviews

Where our website permits customer reviews or other user-submitted content, submissions must reflect genuine experiences and comply with applicable law.

You must not knowingly submit:

  • Fake reviews;

  • Fraudulent reviews;

  • Reviews relating to experiences that did not occur;

  • Unlawful content;

  • Defamatory content;

  • Threatening content;

  • Malicious code; or

  • Content that infringes another person's intellectual property rights.

We may moderate content where reasonably necessary and lawful.

32. Rights in Submitted Content

If you voluntarily submit a review, photograph, or other content for publication, you grant us a non-exclusive permission to use that content for operating and promoting our store to the extent reasonably contemplated when it was submitted, subject to applicable law and our Privacy Policy.

You retain ownership of content that you own.

PART I — THIRD-PARTY SERVICES

33. Third-Party Services

Our website may use third-party providers for functions such as:

  • Payment processing;

  • Website hosting;

  • Shipping;

  • Analytics;

  • Fraud prevention;

  • Advertising; and

  • Customer communications.

These providers may have their own terms and privacy practices.

Use of third-party services does not reduce any responsibility we have to you under applicable consumer law.

34. Third-Party Links

Our website may contain links to third-party websites.

We do not control independent third-party websites and are not responsible for their content or practices merely because our website links to them.

You should review the terms and privacy policies of third-party websites before using them.

Nothing in this section excludes liability where applicable law says we remain responsible.

PART J — PRIVACY AND DATA

35. Privacy

Your privacy is important to us.

Our collection, use, storage, and handling of personal information is explained in our Privacy Policy.

By using our website, personal information may be processed as described in our Privacy Policy and as permitted or required by applicable law.

Customers should review our Privacy Policy separately.

36. Electronic Communications

When you:

  • Place an order;

  • Create an account;

  • Contact customer service; or

  • Otherwise communicate electronically with us,

we may communicate with you electronically regarding your transaction or account.

Transactional messages may include:

  • Order confirmations;

  • Shipping information;

  • Payment information;

  • Security notices;

  • Return information; and

  • Customer-support communications.

Marketing communications will be handled in accordance with applicable consent and marketing laws.

PART K — PROHIBITED USES

37. Prohibited Activities

You may not use our website or services:

  • For unlawful purposes;

  • To solicit unlawful activity;

  • To violate applicable laws;

  • To infringe intellectual property rights;

  • To harass or threaten others;

  • To provide intentionally false or fraudulent information;

  • To transmit malicious software;

  • To interfere with website security;

  • To attempt unauthorised access to systems or accounts;

  • To conduct payment fraud;

  • To impersonate another person; or

  • To abuse our return, refund, or promotional systems through fraudulent activity.

We may take reasonable action against unlawful or fraudulent use, including restricting access or cancelling affected orders where legally permitted.

PART L — WARRANTIES AND LIABILITY

38. Consumer Guarantees and Statutory Rights

Nothing in these Terms excludes or restricts any warranty, guarantee, right, or remedy that cannot legally be excluded.

In particular, nothing in these Terms reduces mandatory rights available to consumers concerning defective, unsafe, misdescribed, or otherwise non-conforming goods.

39. Website Availability

We aim to keep our website available and functioning properly.

However, access may occasionally be interrupted because of:

  • Maintenance;

  • Software updates;

  • Security issues;

  • Hosting problems;

  • Network failures; or

  • Events outside our reasonable control.

We do not guarantee uninterrupted website availability.

This does not affect obligations relating to orders already placed.

40. Our Liability to Consumers

We are responsible for losses suffered by consumers where applicable law makes us responsible.

For UK consumers, if we fail to comply with these Terms, we are responsible for loss or damage that is a foreseeable result of our breach of contract or failure to use reasonable care and skill.

We are not responsible for losses that were not reasonably foreseeable, except where applicable law provides otherwise.

Products sold through our consumer store are intended primarily for personal and household use unless stated otherwise.

To the extent permitted by law, we are not responsible to consumers for purely commercial losses such as loss of business profits arising from use of products for business purposes.

41. Liability We Do Not Exclude

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

This includes, where applicable:

  • Death or personal injury caused by negligence;

  • Fraud or fraudulent misrepresentation;

  • Liability for defective products where it cannot legally be excluded;

  • Breach of mandatory statutory consumer rights; or

  • Any other liability that applicable law prohibits us from excluding.

PART M — EVENTS OUTSIDE OUR CONTROL

42. Events Beyond Reasonable Control

We will not be responsible for a delay or failure caused solely by circumstances outside our reasonable control to the extent permitted by applicable law.

Examples may include:

  • Severe weather;

  • Natural disasters;

  • Widespread carrier disruptions;

  • Government restrictions;

  • Major infrastructure failures;

  • Cyberattacks affecting third-party infrastructure;

  • Labour disruption; or

  • Other comparable events.

Where such an event affects an order, we will take reasonable steps to minimise its effect and will respect any cancellation, refund, or other rights provided by applicable law.

PART N — CHANGES AND TERMINATION

43. Changes to Our Website

We may update, change, suspend, or discontinue website features from time to time.

Changes will not retrospectively remove rights that a customer has already acquired under an existing contract or applicable law.

44. Changes to These Terms

We may update these Terms when reasonably necessary, including because of changes to:

  • Our services;

  • Business operations;

  • Technology;

  • Payment methods;

  • Applicable laws; or

  • Regulatory requirements.

The updated version will be published on our website with a revised Last Updated date.

The Terms applicable to a purchase will generally be those in effect when the applicable contract is formed, unless applicable law provides otherwise.

45. Suspension or Termination of Website Access

We may restrict or terminate website access where reasonably necessary because of:

  • Fraud;

  • Illegal activity;

  • Security threats;

  • Material violation of these Terms; or

  • Serious abuse of our systems.

Any termination of website access does not remove rights or obligations that already arose from completed transactions.

PART O — LEGAL TERMS

46. Entire Agreement

These Terms, together with policies expressly incorporated into them, including our:

  • Return and Refund Policy;

  • Privacy Policy; and

  • Any product-specific terms displayed before purchase,

form the applicable agreement relating to use of our website and purchases from us, subject to mandatory law.

47. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or removed only to the extent necessary.

The remaining provisions will continue to apply where legally possible.

48. No Waiver

If we do not immediately enforce a right under these Terms, that does not necessarily mean we have waived that right.

Similarly, nothing in these Terms prevents a consumer from exercising a statutory right because that right was not previously exercised.

49. Assignment

Consumers may not transfer contractual rights or obligations where doing so would materially affect our rights without our agreement, except where applicable law permits otherwise.

We may transfer our rights or obligations as part of a lawful business restructuring, transfer, or sale, provided doing so does not reduce mandatory consumer rights.

50. Governing Law — United Kingdom Customers

For consumers residing in England and Wales, these Terms are generally governed by the laws of England and Wales, subject to any mandatory consumer protections that apply.

Consumers may have the right to bring proceedings in courts available to them under applicable law.

For consumers elsewhere in the United Kingdom, mandatory local jurisdiction and consumer protections remain unaffected.

Nothing in this section removes a consumer's mandatory legal protections.

51. United States Customers

For customers residing in the United States, these Terms operate subject to applicable U.S. federal, state, and local consumer protection laws.

The fact that U.S. orders may be fulfilled through our Sacramento, California warehouse does not by itself remove or alter consumer protections applicable in the customer's state.

Any mandatory rights or remedies available under applicable U.S. law remain unaffected.

52. Disputes and Complaints

If you have a complaint or dispute regarding an order, we encourage you to contact us first so that we can attempt to resolve the issue.
